Terms of Service
Last updated: [DATE]
These Terms of Service (“Terms”) govern your access to and use of the True Colours platform operated by [LEGAL ENTITY NAME] (“True Colours,” “we,” “us,” or “our”). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use True Colours.
1. Eligibility and accounts
You must be at least the age of majority in your jurisdiction and able to form a binding contract to use True Colours. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use.
2. The service
True Colours provides tools for colour analysis consultants to record client information, generate colour analysis reports, and deliver those reports to clients via private links. We may modify, suspend, or discontinue features at any time. We strive for high availability but do not guarantee uninterrupted access.
3. Subscriptions, billing, and trials
Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment processor. Free trials, if offered, convert to a paid subscription unless cancelled before the trial ends. Fees are non-refundable except where required by law. Published-report limits apply per billing cycle according to your plan and reset at the start of each cycle. We may change pricing on notice; changes take effect at your next renewal.
4. Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you retain access until then. We may suspend or terminate accounts that violate these Terms or for non-payment.
5. Your content and responsibilities
You retain ownership of the content you submit, including client records and notes (“Your Content”). You grant us a limited licence to host, process, and display Your Content solely to operate the service for you. You represent that you have all necessary rights and consents to submit Your Content, including any consent required from your clients, and that your use of True Colours complies with applicable privacy and consumer-protection laws.
6. Acceptable use
You agree not to:
- use True Colours for any unlawful purpose or in violation of any applicable law;
- upload content you do not have the right to use, or that infringes others’ rights;
- attempt to access accounts, data, or systems that are not yours;
- reverse engineer, scrape, or disrupt the service or its security; or
- resell or sublicense the service without our written permission.
7. Intellectual property
True Colours, including its software, the colour season library and associated narrative content, branding, and design, is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. You may not copy, distribute, or create derivative works from True Colours’s proprietary content.
8. AI-generated content
Reports drafted with AI assistance are generated from the season content and session notes you provide. You are responsible for reviewing, editing, and approving all report content before publishing or delivering it to a client. We do not warrant that AI-generated output is accurate, complete, or fit for any particular purpose.
9. Third-party services
True Colours relies on third-party providers for hosting, storage, email, payments, and AI features. Your use of the service may also be subject to those providers’ terms. We are not responsible for the acts or omissions of third-party providers.
10. Disclaimer of warranties
The service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, True Colours and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless True Colours and its operators from any claims, damages, liabilities, and expenses arising out of Your Content, your use of the service, or your breach of these Terms — including claims by your clients relating to the handling of their personal information.
13. Termination
You may stop using True Colours at any time. We may suspend or terminate your access for breach of these Terms, for non-payment, or where required by law. On termination, your right to use the service ends; certain provisions (including ownership, disclaimers, limitation of liability, and indemnification) survive.
14. Governing law
These Terms are governed by the laws of [PROVINCE/STATE], Canada, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located there, except where applicable consumer-protection law provides otherwise.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Continued use of True Colours after a change constitutes acceptance of the revised Terms.
